Insider Weekends – October 26, 2012

Welcome to edition 125 of Insider Weekends. Insider buying increased with insiders purchasing $159 million of their stock last week compared to $29.51 million in the week prior. Selling decreased with insiders selling $1.7 billion of stock last week compared to $2.04 billion in the week prior.

Sell/Buy Ratio: The insider Sell/Buy ratio is calculated by dividing the total insider sales in a given week by total insider purchases that week. The adjusted ratio for last week dropped to 10.86. In other words, insiders sold almost 11 times as much stock as they purchased. The Sell/Buy ratio this week compares favorably with the prior week, when the ratio stood at 69.15. We are calculating an adjusted ratio by removing transactions by funds and companies and trying as best as possible only to retain information about insiders and 10% owners who are not funds or companies.

Note: As mentioned in the first post in this series, certain industries have their preferred metrics such as same store sales for retailers, funds from operations (FFO) for REITs and revenue per available room (RevPAR) for hotels that provide a better basis for comparison than simple valuation metrics. However metrics like Price/Earnings, Price/Sales and Enterprise Value/EBITDA included below should provide a good starting point for analyzing the majority of stocks.

Notable Insider Buys:

1. BlackRock, Inc. (BLK): $186.99

Director James Grosfeld acquired 449,998 shares of this asset management company, paying $189.68 per share for a total amount of $85.4 million. Mr. Grosfeld increased his stake by 825.08% to 504,538 shares with this purchase. 85,000 of these shares were purchased indirectly by trusts and other entities.

We have written about BlackRock several times following purchases by Mr. Grosfeld but these are his largest purchases since we started tracking insider data in August 2010. We wrote the following about the company following one of his prior purchases in November 2010,

BlackRock is one of the largest investment management companies in the world with $3.45 trillion in assets under management as of September 2010. The company also owns the iShares brand of ETFs that it acquired from Barclays (BCS) in mid-2009. The commission free ETF trades offered by Fidelity for iShares ETF was soon followed by other brokerages and TD Ameritrade now offers 100 commission free trades on ETFs from multiple providers including iShares.

BlackRock showed up on my radar after a July purchase of 41,000 shares by $152.37. Clearly the increase in price since then did not stop Mr. Grosfeld from increasing his position. The company has a dividend yield of 2.3% and has a reputation for being one of the best asset management companies. With offices in 24 countries, unless we see a global decline across all asset classes, BlackRock appears to be on firm ground.

2. Navistar International Corporation (NAV): $18.51

Shares of this truck and diesel engine manufacturer were purchased by two insiders:

  • Director Mark H. Rachesky acquired 1,598,000 shares, paying $18.75 per share for a total amount of $29.96 million.
  • 10% Owner Carl C Icahn acquired 1,594,667 shares, paying $18.75 per share for a total amount of $29.9 million.

Both Mr. Icahn and his former protege Mark Rachesky purchased shares of Navistar in July and followed up with these purchases this week. The stock is down nearly 58% over the last year and is now trading close to its 52 week low.

10% Owner Sardar Biglari sold 50,000 shares of this restaurant chain, paying $63.66 per share for a total amount of $3.2 million. These shares were purchased indirectly by Biglari Holdings.

Director Steven R. Becker acquired 540,075 shares of this home products retailer, paying $5.30 per share for a total amount of $2.9 million. These shares were purchased indirectly by Becker Drapkin Partners.

Becker Drapkin Partners is an activist fund that tends to focus on small cap companies. Some of their other purchases we have covered in the past include Hot Topic (HOTT) and Glu Mobile (GLUU).
